The following are a sample of recent transactions undertaken both within the locality and on an international basis.
Sale of Telecommunications Company
A family business based in Brierley Hill sold out to a plc company for £6 million. Hamiltons had acted for the Client Company for the five years prior to the sale, and dealt with tax planning for the individual shareholder and communications with top legal and audit firms in respect of the sale documentation and due diligence procedures undertaken.
The practice still acts for the individual on his UK taxation affairs.
Management Buyout of Local Window Manufacturing Company
The majority shareholder of the company, for whom Hamiltons had acted for eight years, wished to retire and no external party was identified at the time to acquire. The minority shareholder therefore brought out the company for £600,000, and Hamiltons dealt with raising the finance.
Management Buyout of Local Packaging Company
A management team of three individuals brought out a family business for £900,000. Hamiltons assisted in raising the finance and continue to act for the Client Company and the three shareholders.
Acquisition of national Travel Company
A nationally known Travel Club and Tour Operator client acquired a company to operate within their group structure. We liaised with the London based solicitors and vendors to the effect of the sale.
Management Buyout of Local Engineering Company
The Vendor Company belonged to a plc group, so negotiations were held with the Board of Directors to agree the consideration sum and terms.
Sale to a US company
A local Wolverhampton firm recently merged with its US counterpart, with the merger transaction resulting in investment in the US holding company. Hamiltons dealt with the negotiations for the merger value and advised on the US and UK tax legislation, and co-ordinated the legal documentation.
Succession Tax Planning
We act for a number of family owned businesses, where the company has passed into a second, and even third, family generation via the raising of funds to effect a company Purchase of Shares. The retiring shareholder is able to release capital from the company in a tax-efficient manner.
